Raising Your Seed Round Financing: Should You Use Convertible Notes or Preferred Stock?

This panel will discuss whether a company's "seed" round of financing should be in the form of the company's preferred stock or alternatively be in the form of a convertible note, that is, a loan by the investor converts (usually at a discount) into the equity, and at the valuation, of the company's first institutional round of financing. Bart Greenberg, who has closed numerous seed round financing on behalf of his clients, will begin this program by introducing the key terms and considerations of a typical convertible note financing. Additional discussion of key considerations used in deciding whether and how to use one form of seed financing over the other will follow.
